Documents Review Officer for provincial government regulatory client in downtown Toronto.

Job Type:  Temporary.
Initial Term:  September 18, 2023 to March 18, 2024, with possibility of extension.
Compensation: $34.04 per hour.

Regular Work Hours: 7.0 work hours per day, not including unpaid 1 hour lunch break, to be worked during regular business hours, Monday to Friday (35 work hours per week).
Work Location: Hybrid – split between remote-work and onsite at client’s downtown Toronto office, on TTC line. Hybrid split to be determined upon placement, with minimum 3 days onsite per week.

Responsibilities Summary:
To review and issue receipts for company prospectuses, verifying their legislative and policy compliance.

  • Review and validate company prospectuses and supplements.
  • Identify deficiencies; communicate with issuers regarding problems; resolve outstanding discrepancies.
  • Issue comment letters.
  • Issue preliminary and final receipts; verify there are no legal barriers.
  • Conduct security and background checks.
  • Validate fees submitted and paid in compliance with internal policies; review refund requests.
  • Access and maintain spreadsheets, internal databases and records management systems, and retrieve and provide information and documentation upon request.
  • Respond to inquiries from internal and external parties or forward to appropriate staff member; refer escalations to Supervisor as needed.
  • File applicable documents on SEDAR.
  • Additional legal documents review and processing responsibilities as required.

Education: Completion of Law Clerk or Paralegal Program, or equivalent Post Secondary Degree or Diploma in Law, Finance or Business.
Professional Designations:  Canadian Securities Course an asset.
Preferred Work Experience: Approximately 4+ years of related experience as a Corporate Securities Law Clerk or Paralegal.

Technical Skills Requirements: 

  • Familiarity with SEDAR a strong asset.
  • Overall technical aptitude and familiarity with MSOffice software and database systems (may be tested).
  • Strong business writing skills (may be tested).

  • Knowledge of securities legislation, procedural rules and disclosure requirements.
  • Proven ability to professionally handle confidential information and exercise good judgement in the interpretation and application of instructions and organization policy.
  • Proficient English communication skills, both written and verbal.
  • Superior attention to detail, and organized, methodical approach to completion of tasks.
  • Demonstrated commitment to client service and professional representation of the organization.
  • Advanced organizational, coordinative and time management skills, with the ability to prioritize work effectively for self and others, meet tight deadlines and work well under pressure.

Additional Requirements:

  • Must be legally entitled to work in Canada, providing satisfactory documentation upon request.
  • Ability to work onsite as required, abiding by organization Health and Safety policies.
  • Ability to provide qualified employment references that may be quickly contacted by either Marberg or Marberg’s client upon request.
  • Ability to declare personal Non-Conflict of Interest in execution of assignment responsibilities prior to assignment start.
  • Ability to complete a satisfactory Provincial Government security check, including a Fingerprint Check prior to assignment start.  Please note that Marberg will reimburse Candidates for the costs of the Fingerprint Check upon their acceptance of Assignment Offer and submission of approved Expense Receipts.
  • Provision of certification of AODA and OHSA online training course completion prior to assignment start.
  • Additional satisfactory Background checks and Technical Skills Evaluations as required.
